Sprouse 1 of 1 Official Rules (the “Promotion”)
VOID IN RHODE ISLAND AND WHERE PROHIBITED BY LAW.
By participating in Sprouse 1 of 1 sweepstakes (the “Promotion”), each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Marc Jacobs International, L.L.C. (the “Sponsor”), which are final and binding in all matters relating to this Promotion, including, but not limited to, interpretation and application of these Official Rules and the selection of the winners, and not subject to challenge or appeal.
1. Eligibility
Participation open only to legal residents of the fifty (50) United States and the District of Columbia (excluding residents of Rhode Island), who are at least eighteen (18) years of age and the age of majority in their state of residence, whichever is older. Void outside of the 50 United States, the District of Columbia, in Rhode Island, and where prohibited, taxed or restricted by law. Employees, officers and directors of Sponsor, and its parent company, subsidiaries, affiliates, partners, advertising and promotion agencies, manufacturers or distributors of promotion materials, and their immediate families (spouse, and parents, children, siblings, and their respective spouses, regardless of where they reside) or members of the same household (whether related or not) of such employees, officers and directors are not eligible to enter. All applicable federal, state and local laws and regulations apply.
2. How to enter
Between April 3, 2025 3:01 AM Eastern Time (“ET”) and April 11, 2025 2:59 AM ET (“Promotion Period”), visit the Marc Jacobs x Sprouse Landing Page and complete a submission by providing your email address (a “Submission”). One Submission per person is permissible.
By entering, each entrant warrants and represents the following with respect to entrant’s Submission: (a) entrant is the sole and exclusive owner of the Submission; (b) the Submission will not infringe on any rights of any third parties; (c) any statements made by the entrant in the Submissions are true, accurate and reflect their actual beliefs and experiences; (d) entrant is eligible according to the eligibility requirements/restrictions set forth herein; and (e) Submission complies with all requirements set forth in these Official Rules.
Use of any automated system to participate is prohibited and will result in disqualification. In the event of a dispute as to a Submission, the authorized account holder of the email address used to register on the platform used to enter will be deemed to be the entrant and such individual must comply with these Official Rules.
3. Prizes
One (1) Stephen Sprouse limited edition The Tote Bag with a signed note from Mr. Marc Jacobs (the “Prize”). The Approximate Retail Value of the Prize is USD $550.
No substitution or cash redemption is allowed. Prize is non-transferable. Sponsor reserves the right to substitute a prize (or portion thereof) of comparable or greater value. All federal, state and local taxes are the responsibility of winners. Winner will be required to provide their legal name and Social Security number or tax ID for tax reporting purposes in order for Sponsor to file an IRS Form 1099 with the Internal Revenue Service for the fair market value of a Prize awarded and accepted. All prize details are at Sponsor’s sole discretion.
4. Notification
The potential winner will be notified on or about April 14, 2025 via email using the email address used in the Submission and required to respond to initial notification within four (4) business days of date of notification. Potential winner will also be required to sign and return, where legal, an Affidavit/Declaration of Eligibility within two (2) business days of receipt.
If any potential winner cannot be contacted within four (4) business days of first notification attempt or fails to return all required document within the time period specified, if any Prize notification is returned as undeliverable, if any winner rejects his/her Prize or in the event of noncompliance with these Official Rules, such Prize will be forfeited and may be awarded to a runner-up. Upon prize forfeiture, no compensation will be given.
5. Limitation of Liability; Disclaimer of Warranties
By entering, entrants and winners agree to release, defend, indemnify, and hold harmless Sponsor, and its respective parent companies, subsidiaries, affiliates, partners, advertising and promotion agencies, manufacturers or distributors of promotion materials and all of their respective representatives, agents, successors, assigns, employees, officers and directors (collectively, the “Released Entities”) from any and all liability, claims, actions, injury, death, loss or damage of any kind resulting from participating in this Promotion, from participating in any Promotion-related activity or from the acceptance, use or misuse of any Prize awarded. The Released Entities are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrant, printing errors or by any of the equipment or programming associated with or utilized in the Promotion; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Promotion; (4) technical, network, mechanical, platform, human or other error or problem which may occur in connection with the Promotion, including, but not limited to, errors or problems which may occur in the administration of the Promotion or the processing of Submissions, the announcement of the Prize or in any Promotion-related materials; (5) late, lost, undeliverable, damaged, misdirected, delayed, garbled, inaccurate, or stolen Submissions, email, mail, direct messages, or other communications of any kind; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Promotion or receipt or use or misuse of any Prize.
The Released Entities are not responsible if Promotion cannot take place or if any prize cannot be awarded due to delays or interruptions due to acts of God, acts of war, natural disasters, weather or acts of terrorism.
Persons who tamper with or abuse any aspect of the Promotion or website, who act in an unsportsmanlike or disruptive manner or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated Submissions will be void. Should any portion of the Promotion be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of Submissions, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Promotion and, if terminated, at its discretion, select the potential winners from all eligible, non-suspect Submissions received prior to action taken using the winner determination procedure outlined above or as otherwise deemed fair and appropriate by Sponsor. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
6. Disputes; Governing Law
The parties waive all rights to trial in any action or proceeding instituted in connection with the Promotion or these Official Rules. Any controversy or claim arising out of or relating to these Official Rules and/or the Promotion shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of New York, City of New York.
THESE OFFICIAL RULES AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF NEW YORK WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES. For any matters which are not subject to arbitration as set forth in these Official Rules and/or in connection with the entering of any judgment on an arbitration award in connection with these Official Rules and/or the Promotion, the parties irrevocably submit and consent to the exclusive jurisdiction and venue of the state and federal courts located in or closest to the County of New York in the State of New York. The parties agree not to raise the defense of forum non conveniens.
7. . Use of Data
By entering this Promotion, entrants agree that all information provided in connection with the Promotion shall subject to Sponsor’s privacy policy.
8. List of Winners
To obtain the name of the winner by mail (first name, last initial, and state of residence), send a stamped, self-addressed envelope to “Sprouse 1 of 1” Attn: Marc Jacobs International, L.L.C., Legal Department, 72 Spring Street, New York, NY 10012. Requests for the winner list must be received within sixty (60) days of the end of the Promotion Period.
